What is the difference between these two models? they both called s14 but looks different....and also I am thinking about getting a 95 240SX and can it be still converted to s15 haedlight and fenders? I am pretty sure that it is possible to Convert with 97-98 240SX.

In '97 they changed the face to the projector headlights, angular front fenders and creased hood. They also changed the tail lights to a more squarish pattern. The 97-98 SE and LE models got side sills which were never available on the 95-96 models.

The reason they are both called S14 is that they ride on the same chassis. The most notable changes are only to external pieces - sheetmetal and lamp housings. The suspension and chassis basically stayed the same.

Yes, you can change any 240SX, be it hatchback or S13 or S14 to the S15 headlight and fenders. It's called Strawberry Face or Ichigo face and I'm sure someone else here will be glad to tell you all about it.
